Dērysk Terms of Use

Effective Date: August 21, 2026

1. Agreement to These Terms

These Terms of Use ("Terms") govern your access to and use of websites, applications, and services provided by Dērysk, LLC, an Iowa limited liability company ("Dērysk," "we," "us," or "our"), collectively referred to as the "Services."

By creating an account, accessing, or using the Services, you agree to these Terms.

If you use Dērysk through a university, entrepreneurship program, employer, accelerator, or other organization, additional terms or policies of that organization may also apply.

If you do not agree to these Terms, do not use the Services.

2. Eligibility and Accounts

You must provide accurate information when creating and maintaining an account.

You are responsible for:

  • maintaining the confidentiality of your credentials;
  • activity occurring through your account;
  • providing accurate information;
  • keeping relevant account information current; and
  • notifying Dērysk if you believe your account has been compromised.

You may not impersonate another person or create an account using information you are not authorized to use.

Users under 18 may use the Services only when permitted by applicable law and, where required, with appropriate authorization from a parent, guardian, educational institution, or participating organization.

The Services are not intended for children under 13 unless Dērysk has expressly authorized such use under an appropriate institutional arrangement.

3. Programs and Participating Organizations

Organizations may use Dērysk to administer entrepreneurship, innovation, educational, mentorship, accelerator, or other programs.

Dērysk provides technology supporting those programs but does not necessarily operate, control, or make decisions for the participating organization.

Program Directors, administrators, mentors, reviewers, and other authorized personnel may access information associated with your participation according to their permissions.

Participating organizations may impose additional eligibility requirements, policies, deadlines, participation expectations, or terms.

4. Applications, Recommendations, and Program Decisions

Dērysk may provide assessments, classifications, recommendations, readiness indicators, routing results, or other guidance based on information supplied through the Services.

These outputs are intended to support decision-making. They are not guarantees or independent determinations of eligibility, admission, enrollment, funding, investment, business viability, or success.

Submitting an application through Dērysk does not itself mean that you have been admitted to or enrolled in a program.

Unless expressly stated otherwise, admission and enrollment decisions are made by the participating organization or its authorized personnel.

5. Your Content

"User Content" means information or materials you submit, upload, create, store, or otherwise provide through the Services.

User Content may include:

  • venture ideas and descriptions;
  • business plans and strategies;
  • research and market information;
  • evidence and assumptions;
  • customer and interview information;
  • experiments and observations;
  • application responses;
  • financial and operational information;
  • documents;
  • feedback; and
  • other materials.

You retain ownership

As between you and Dērysk, you retain ownership of your User Content and any intellectual-property rights you hold in it.

Dērysk does not acquire ownership of your venture, business idea, research, or other User Content merely because you use the Services.

License necessary to provide Dērysk

You grant Dērysk a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, display, and otherwise use User Content solely as reasonably necessary to:

  • provide the Services;
  • make content available to users and organizations you authorize or participate with;
  • maintain, secure, troubleshoot, and support the Services;
  • comply with law and contractual obligations; and
  • exercise rights otherwise described in these Terms or the Privacy Policy.

This license does not give Dērysk the right to sell your venture or claim ownership of your intellectual property.

6. Responsibility for User Content

You are responsible for User Content you submit.

You represent that you have the rights and permissions reasonably necessary to provide that content through the Services.

You should not submit information that:

  • you are prohibited from disclosing;
  • unlawfully infringes another person's rights;
  • contains personal information about another individual that you are not authorized to provide; or
  • violates applicable law or these Terms.

Dērysk does not independently verify every statement, claim, business metric, research finding, or other item submitted by users.

7. Confidential and Sensitive Business Information

Dērysk may be used to store information that users consider confidential or commercially sensitive.

You are responsible for determining what information is appropriate to submit and understanding who may have authorized access to it through your program or organization.

Dērysk will handle information according to its Privacy Policy, applicable agreements, and reasonable security practices, but no online service can guarantee absolute confidentiality or security.

8. Acceptable Use

You may not use the Services to:

  • violate applicable law;
  • infringe intellectual-property or privacy rights;
  • harass, threaten, abuse, or harm others;
  • upload malicious software or harmful code;
  • interfere with or disrupt the Services;
  • attempt unauthorized access to accounts, systems, or information;
  • bypass access controls or security mechanisms;
  • scrape or extract information through unauthorized automated means;
  • falsely represent your identity or affiliation;
  • use another person's account without authorization;
  • submit fraudulent or intentionally misleading program information;
  • reverse engineer the Services except where applicable law expressly permits it; or
  • use Dērysk in a manner that materially interferes with another user's use of the Services.

We may investigate suspected violations and take reasonable protective action.

9. Dērysk Intellectual Property

The Services, including Dērysk software, interfaces, methodology implementations, designs, branding, documentation, and other materials provided by Dērysk, are owned by Dērysk or its licensors and are protected by applicable intellectual-property laws.

These Terms give you a limited, non-exclusive, non-transferable, revocable right to use the Services for their intended purposes.

They do not transfer ownership of Dērysk intellectual property to you.

10. Feedback

If you voluntarily provide suggestions, ideas, or feedback about improving Dērysk itself, you permit us to use that feedback without restriction or compensation.

This section applies to feedback about the Dērysk product and does not transfer ownership of your venture or User Content.

11. Third-Party Services

Dērysk relies on and may integrate with third-party services.

We are not responsible for the independent availability, content, policies, or practices of third-party services.

Your use of third-party services may be subject to additional terms.

12. Service Availability and Changes

We work to provide reliable Services, but we do not guarantee uninterrupted or error-free operation.

We may modify, improve, add, remove, suspend, or discontinue features as the Services evolve.

Where reasonably practical, we will seek to avoid changes that unnecessarily interfere with active program participation or access to important records.

13. Suspension and Termination

We may restrict, suspend, or terminate access when reasonably necessary because of:

  • violation of these Terms;
  • security concerns;
  • suspected fraud or abuse;
  • legal requirements;
  • requests or contractual requirements of a participating organization;
  • nonpayment where applicable; or
  • discontinuation of the Services or a relevant program.

You may stop using the Services at any time.

Account termination does not necessarily require immediate deletion of all information. Some information may be retained as described in the Privacy Policy or as required for program, contractual, security, legal, or recordkeeping purposes.

14. No Professional Advice

Dērysk may provide frameworks, prompts, analyses, recommendations, educational materials, or other information intended to support learning and decision-making.

The Services do not provide legal, tax, accounting, investment, medical, or other regulated professional advice.

You are responsible for obtaining appropriate professional advice when needed.

15. No Guarantee of Business Outcomes

Entrepreneurship and business development involve uncertainty and risk.

Dērysk does not guarantee that use of the Services will result in:

  • admission to a program;
  • funding or investment;
  • customers or revenue;
  • successful validation;
  • successful launch;
  • profitability;
  • business survival; or
  • any other particular outcome.

You remain responsible for your business and other decisions.

16. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Services are provided "as is" and "as available."

Dērysk disclaims warranties that are not expressly provided in these Terms, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

17. Limitation of Liability

To the fullest extent permitted by applicable law, Dērysk and its officers, employees, contractors, affiliates, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, data, or other intangible losses arising from or related to your use of or inability to use the Services.

To the fullest extent permitted by applicable law, Dērysk's aggregate liability for claims arising out of or relating to the Services or these Terms will not exceed the greater of:

  • the amount you personally paid to Dērysk for use of the Services during the twelve months preceding the event giving rise to the claim; or
  • one hundred U.S. dollars ($100).

The limitations in this section apply regardless of the legal theory on which a claim is based and even if Dērysk has been advised of the possibility of the relevant damages.

Some jurisdictions do not permit certain limitations of liability. In those jurisdictions, these limitations apply only to the extent permitted by law.

18. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Dērysk, LLC and its officers, employees, contractors, affiliates, and agents from claims, liabilities, damages, losses, and reasonable expenses arising from:

  • your unlawful use of the Services;
  • User Content you submit in violation of another person's rights;
  • your material violation of these Terms; or
  • your intentional misconduct in connection with the Services.

This section does not require you to indemnify Dērysk for claims caused by Dērysk's own unlawful conduct or to the extent such an obligation is prohibited by applicable law.

19. Educational Institutions and Other Organizations

If you access Dērysk through or in connection with a university, educational institution, accelerator, employer, entrepreneurship program, or other organization, that organization may have a separate agreement with Dērysk.

If there is a conflict between these Terms and an applicable agreement between Dērysk and that organization concerning the organization's administration of the Services, the organizational agreement may control with respect to that organization's use of the Services.

These Terms do not create an employment, partnership, agency, fiduciary, or joint-venture relationship between you and Dērysk or between Dērysk and a participating organization except as expressly provided in a separate written agreement.

20. Privacy

Our collection and use of personal information is described in the Dērysk Privacy Policy.

Participating organizations may maintain their own privacy policies and legal obligations concerning information they receive through or in connection with Dērysk.

21. Electronic Communications

By using the Services, you agree that Dērysk may provide notices and other communications electronically, including through:

  • the Services;
  • the email address associated with your account; or
  • another electronic method reasonably associated with your use of Dērysk.

You are responsible for maintaining an accurate email address for your account.

Marketing communications, if any, will be handled in accordance with applicable law and any available communication preferences.

22. Changes to These Terms

We may update these Terms as Dērysk and the Services evolve.

If we make material changes, we may provide notice through the Services, by email, or by another appropriate method.

Unless otherwise stated, updated Terms become effective when posted or on the effective date identified with the updated Terms.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms where permitted by applicable law.

If applicable law requires additional consent to a material change, we will seek that consent.

23. Governing Law

These Terms are governed by the laws of the State of Iowa, without regard to its conflict-of-laws principles, except where applicable law requires otherwise.

Any dispute arising from or relating to these Terms or the Services will be subject to the state or federal courts having jurisdiction in Iowa, unless applicable law provides you with a right to bring a claim in another jurisdiction.

Nothing in these Terms prevents either party from seeking appropriate injunctive or equitable relief where legally available.

24. General Terms

Entire agreement

These Terms, together with the Privacy Policy and any additional terms expressly applicable to your use of the Services, constitute the agreement between you and Dērysk concerning your individual use of the Services.

A separate agreement between Dērysk and a participating organization may also govern aspects of the Services.

Severability

If a provision of these Terms is determined to be unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

No waiver

Failure by Dērysk to enforce a provision of these Terms does not waive our right to enforce that provision later.

Assignment

You may not assign your rights or obligations under these Terms without Dērysk's prior written consent.

Dērysk may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or similar transaction, or as otherwise permitted by law.
